Program Overview

AdRevival LLC (“AdRevival,” “we,” or “Company”) offers an Affiliate Milestone Rewards Program (“Program”) to reward affiliates for achieving certain commission earnings milestones. These Terms and Conditions (“Terms”) govern participation in the Program and are in addition to any terms of service or affiliate agreements governing the base AdRevival affiliate program (managed through the Whop platform). By enrolling or participating in the Program, you (“affiliate,” “you,” or “participant”) agree to abide by these Terms. If you do not agree, you should not participate in the Program.

● Independent Program: This Program is administered solely by AdRevival LLC. Whop (the third-party service managing affiliate links and commission tracking) is not a sponsor or administrator of this Program and has no responsibility for its operation or rewards. All inquiries or issues regarding the milestone rewards should be directed to AdRevival (see Contact Information below), not to Whop.

● No End Date: The Program has no fixed end date and is considered ongoing, but AdRevival reserves the right to modify or terminate the Program at any time in its sole discretion (see Modifications and Termination section below).

Eligibility

To be eligible for the Affiliate Milestone Rewards Program, you must meet all the following criteria:

● Affiliate Status: You must be an approved AdRevival affiliate in good standing, with a valid affiliate account on the Whop platform. One affiliate account per individual or entity is allowed. Duplicate or multiple accounts are prohibited. If we discover that you have created more than one account, all associated accounts may be disqualified and terminated.

● Legal Capacity: You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into contracts. This Program is open to both U.S. and international affiliates, void where prohibited by law. It is your responsibility to ensure that participating in this Program complies with all laws and regulations applicable in your country or region.

● Prohibited Participants: Employees, officers, and directors of AdRevival, its affiliated companies, and their immediate family members or household members are not eligible to participate in the Program. AdRevival also reserves the right to refuse or revoke participation for any affiliate at its discretion if eligibility criteria are not met or if there is any violation of these Terms.

● Compliant Conduct: Participants must comply with all terms of the base affiliate program (including any Whop terms of service) and with all applicable laws and regulations in promoting AdRevival’s services. Any form of unethical marketing (such as spam, misleading links, or illegal content) can result in disqualification (see Prohibited Conduct below).

Earning Commissions & Milestone Calculations

● Commission Tracking: Affiliate commissions are tracked and calculated through the Whop affiliate platform. “Commission” refers to the monetary reward or percentage earned by the affiliate from sales or transactions generated via the affiliate’s unique link or referral code. Commissions will accrue as per the standard affiliate agreement and payout schedule on Whop.

● Qualified Commissions: Only legitimate, earned commissions count toward the Program milestones. Commissions from your own purchases or self-referrals are not eligible. In other words, you cannot refer yourself; any commission generated through orders placed under your own account or by you as the customer will be void and excluded from milestone calculations. Likewise, any commissions that are later canceled, refunded, charged back, or deemed fraudulent will not count toward your total (and may be deducted if they were previously counted).

● Milestone Calculation: The Program tracks the cumulative amount of commission earnings you have generated over time. There are three milestone tiers (described below). Once your total earned commissions (as verified by AdRevival) reach a milestone threshold, you will be eligible for the corresponding reward. Each commission dollar is only counted once toward one milestone (there is no resetting after each milestone – your earnings continue to accrue toward higher tiers). There is no time limit to achieve these milestones; the Program is ongoing.

Milestone Rewards

When you reach a milestone, you become eligible to receive the corresponding reward. Each milestone reward is granted once per affiliate. You may earn each tier only a single time. The tiers and rewards are as follows:

● Milestone 1 – $10,000 in Commissions Earned: Eligible for an Apple AirPods (latest generation) or a similar wireless earbuds prize of comparable value, or a cash alternative ($250 USD).

● Milestone 2 – $100,000 in Commissions Earned: Eligible for a Rolex watch (specific model to be decided by AdRevival, e.g., a model from the Rolex Submariner or equivalent line) or a cash alternative ($15,000 USD).

● Milestone 3 – $1,000,000 in Commissions Earned: Eligible for a Lamborghini sports car (model to be selected by AdRevival, such as a Huracan or Aventador, subject to availability) or a cash alternative ($250,000 USD).

Cash Alternatives: For each milestone, AdRevival may offer a cash payout in lieu of the physical prize. The exact cash amount for each reward is to be determined and will be disclosed by AdRevival when you qualify (cash values are subject to change at any time prior to being awarded). You may choose between the specified prize and the cash alternative when you qualify. If you do not communicate a choice within the timeframe provided by AdRevival, the Company will default to awarding the cash alternative (or may, at its discretion, choose the default option stated when the reward is offered).

Prize Substitution: AdRevival reserves the right to substitute any listed prize with another item of equal or greater value, at its sole discretion, if the advertised prize becomes unavailable or infeasible to award for any reason. Prizes are not transferable and not exchangeable for other goods or services. Aside from the official cash alternative offered, no substitutions or cash redemptions are allowed by the participant (except where required by law). AdRevival will make reasonable efforts to provide a prize of similar type/brand or value if substitution is necessary.

One Reward Per Milestone: Each participant may receive each milestone reward only one time. After you have earned a particular milestone’s reward, that milestone is considered fulfilled for you. Progress toward the next milestone will continue, but you will not receive the same milestone reward again even if your commission total later dips below and re-achieves that threshold. For example, once you earn the $10,000 milestone reward, you won’t get another prize at $20,000; the next reward would be at $100,000. Similarly, if you exceed a milestone (e.g., earn $15,000 in commissions), you will receive the $10,000-tier reward (if not already received), and your progress continues toward the $100,000 milestone.

Verification and Prize Award Process

All milestone achievements are subject to verification by AdRevival before any reward is issued. We reserve the right to review your account and commission data to ensure all earnings are valid and in compliance with these Terms. This verification process may include confirming that referred customers and transactions are legitimate, checking for fraud or self-dealing, and ensuring no violations of affiliate terms have occurred.

● Notification of Qualification: Once you have met a milestone’s requirements (and AdRevival has internally verified the commissions), AdRevival will contact you via the email associated with your affiliate account (or through the Whop platform) to notify you that you are eligible for a reward. The notification will include instructions on how to claim your prize, any choices you need to make (e.g. product vs. cash), and any additional information required. If you believe you have reached a milestone and have not heard from us within a reasonable time, you may contact us at support@adrevival.io for assistance.

● Additional Documentation: Before awarding any prize, AdRevival may require you to sign an affidavit of eligibility, release of liability, and/or a publicity release (where permitted by law), confirming that you complied with the Program rules and that AdRevival may use your name and likeness for promotional purposes. For high-value prizes (especially the $1,000,000 milestone), you may also be required to complete and return certain tax forms or documentation (for example, an IRS Form W-9 for U.S. residents, or a W-8BEN for non-U.S. persons) and provide a copy of identification, to ensure compliance with tax reporting and regulatory requirements. Failure to timely return required documents or information may result in disqualification from the reward.

● Prize Delivery: AdRevival will arrange for delivery/shipment of physical prizes to you at our expense. We will cover standard shipping or freight costs for sending the prize to the address you designate (within reason). International winners: we will ship globally, but please note that any customs duties, import taxes, or additional fees imposed by your country’s authorities will be your responsibility (see Taxes below). Delivery of large prizes (e.g., the car) will be coordinated with you – it may involve delivery to a local dealership or shipping the vehicle to a nearby location for pickup. You must provide accurate shipping information and cooperate with any arrangements for delivery. AdRevival is not responsible for delays or issues in delivery caused by factors outside its control (e.g., carrier delays, customs clearance, etc.), but will work in good faith to ensure you receive your prize.

● Alternative Cash Payout: If you opt for a cash alternative, or if a cash alternative is provided by default, AdRevival will pay it in the form of a company check, wire transfer, PayPal/Whop payout, or another agreed method. Allow a reasonable processing period after verification for payment to be issued (we will inform you of the expected timeline, e.g., 30 days). Cash payouts will typically be made in USD, unless otherwise specified.

● Taxes and Financial Responsibility: Any and all taxes (federal, state, local, provincial, international, or other) associated with the prize are the sole responsibility of the recipient. AdRevival will not withhold or pay taxes on your behalf for the value of prizes. For U.S. residents, the fair market value of prizes may be reported on IRS Form 1099-NEC or 1099-MISC as required by law (and similar filings will be made for other jurisdictions if required). You are advised to consult with a tax professional about the tax implications of receiving any prize. AdRevival may require you to complete necessary tax forms (as noted above) before releasing a prize. By accepting a reward, you agree that you are responsible for any taxes or fees that may be due and that you will indemnify AdRevival for any claims related to unpaid taxes or tax withholding (if you fail to pay required taxes on the prize).

● Other Costs: Any costs or expenses related to the prize that are not explicitly covered by AdRevival in these Terms will be your responsibility. For example, if you choose the car, you will be responsible for vehicle registration, licensing, insurance, ongoing maintenance, and any applicable import duties or registration taxes in your locale. AdRevival’s responsibility is solely to purchase/provide the vehicle (or prize) itself and cover standard delivery. Likewise, any optional upgrades or customizations you wish to add to the prize would be at your own cost (and subject to AdRevival’s approval if affecting delivery).

● No Warranty by AdRevival: AdRevival will purchase the physical prizes new (unless otherwise specified) and will provide you with any manufacturer warranty documentation that comes with the product. However, AdRevival does not provide its own warranty or guarantee on the prizes. Any issues or defects in a physical prize should be addressed through the manufacturer’s warranty. AdRevival makes no representations or warranties regarding the prizes’ quality or fitness for a particular purpose. By accepting a prize, you acknowledge that AdRevival is not liable for any injuries, damages, or losses arising from use of the prize, except to the extent that cannot be disclaimed by law (see Limitation of Liability below).

Prohibited Conduct and Grounds for Disqualification

AdRevival is committed to running a fair and ethical affiliate program. Any violation of the following rules may result in immediate disqualification from the Program, forfeiture of commissions and rewards, and/or termination of your affiliate account (in addition to any other remedies available to AdRevival):

● Fraudulent Activity: You may NOT engage in any fraudulent or deceitful behavior to generate commissions or qualify for rewards. This includes (but is not limited to) using fake or stolen credit cards to create sales, making fictitious purchases, colluding with customers for kickbacks, or any form of “sale” that is not a bona fide transaction by a genuine end customer. Fraudulent or unethical behavior (as determined by AdRevival in its sole discretion) will result in disqualification from the Program and forfeiture of any pending rewards. AdRevival also reserves the right to reverse or claw back any commissions paid that were later determined to stem from fraud or violation of these Terms.

● Self-Referrals and Gaming the System: As noted, you cannot earn credit for referring yourself or your own business. Orders placed by you (the affiliate) as the customer will not earn commissions. You also may not use tactics like creating fake “referral” accounts (friends or family who immediately cancel, etc.) or otherwise gaming the referral system to artificially inflate your commissions. Only legitimate customer referrals count.

● Multiple/Duplicate Accounts: Each affiliate (individual or entity) is allowed one account in the Program. Creating multiple affiliate accounts to circumvent reward limits or for any reason is strictly prohibited. Duplicate accounts are against policy – one affiliate account per person. If we find you operating multiple accounts (including under different emails or identities), all accounts may be terminated and you will forfeit any rewards. Similarly, referring business through an account that is not yours in order to obtain extra rewards is prohibited.

● Prohibited Promotion Methods: You must follow ethical marketing practices. Do not engage in spam (unsolicited mass emailing), ad spam, cookie stuffing, trademark bidding without authorization, or any illegal marketing. Do not misrepresent AdRevival’s services or make false claims. Do not violate any third-party rights (such as posting your affiliate link where it’s not allowed, or infringing on someone’s trademark or content). If AdRevival provides specific guidelines for affiliate promotions, you must follow them. Violation of acceptable marketing practices can result in termination from the affiliate program, loss of commissions, and disqualification from this Program.

● No Incentivized or Misleading Deals: Unless expressly allowed by AdRevival, you may not offer your own customers additional incentives (like cashback or gifts) to induce them to use your affiliate link, nor may you represent yourself as an “official” AdRevival partner beyond just being an affiliate. Any attempt to deceive users (for example, creating websites that impersonate AdRevival) is prohibited.

● Compliance with Whop and Platform Rules: Since your affiliate links and payouts are managed via Whop, you must also adhere to Whop’s terms of service and policies. If you violate Whop’s rules (for example, attempting to manipulate their tracking system or engaging in activities that get you banned from Whop), that will likewise breach our Program Terms. Being banned or removed from the Whop platform for any reason will automatically disqualify you from AdRevival’s Program.

AdRevival’s Right to Monitor: We reserve the right to monitor affiliate activity, audit your referred transactions, and investigate any behavior that appears to violate these rules. Affiliates must cooperate with any investigation and provide reasonable proof of compliance upon request. AdRevival’s determination of whether a violation occurred is final and binding.

Consequences of Violation: If you are found to be in violation of any Program rules or these Terms, AdRevival may take one or more of the following actions (in its sole discretion): (a) issue a warning or require corrective action; (b) disqualify you from the Milestone Rewards Program (losing eligibility for prizes); (c) void or claw back any commissions or pending payouts associated with improper transactions (for instance, we may reverse commissions on fraudulent transactions, or refuse to pay a cash reward if earned through prohibited conduct); (d) forfeit any unclaimed prizes – you will lose any right to receive rewards you would have otherwise qualified for; (e) terminate your affiliate account entirely, which ends your participation in both the rewards Program and the underlying affiliate program (meaning you would no longer earn any commissions going forward); and/or (f) pursue legal action or indemnification if the violation caused harm to AdRevival (for example, if fraud resulted in chargebacks or legal issues for us).

Affiliates who are disqualified or terminated for violations will not be entitled to any further compensation or remedies from AdRevival, and may be banned from future re-enrollment. We also reserve the right to recover the value of any reward or commission paid out if it was obtained through fraud or breach of these Terms. By participating, you agree that if requested by AdRevival, you will return or reimburse the value of any improperly obtained rewards.

Modification and Termination of Program

AdRevival reserves the right to modify, suspend, or terminate this Affiliate Milestone Rewards Program (and/or these Terms) at any time, for any reason, and without prior notice. This means we may change the milestone thresholds, change the prizes, add or remove rules, or decide to end the Program entirely. However, any modifications or termination will not retroactively affect rewards that have already been earned or qualified for under the terms in effect at the time of your qualification. In the event the Program is terminated, AdRevival will honor any milestone rewards that you reached and verified before the effective termination date (per these Terms), but no new rewards will be earned after the termination date.

If we make material changes to these Terms or the Program (for example, changing prize values or adding new requirements), we will make reasonable efforts to notify active affiliates (such as via email or a notice on our affiliate dashboard). If any modification is unacceptable to you, your only recourse is to cease participation in the Program. Continued participation in the Program (for example, continuing to promote and earn commissions after the Terms have changed) will constitute your acceptance of the change.

AdRevival also reserves the right to terminate individual participants from the Program (or the entire affiliate program) as needed, in line with the rules above. If your underlying affiliate account is terminated (whether by us or by Whop) for any reason, you will lose eligibility for the milestone rewards as well.

These Terms and conditions, as updated, will remain posted at https://adrevival.io/affiliate-program (or an alternate URL designated by AdRevival). We encourage you to review them periodically. AdRevival is not liable for any loss of opportunity or expected rewards due to modifications or termination of the Program, so long as we fulfill obligations for rewards earned prior to the change. By participating, you acknowledge that this Program is a voluntary bonus incentive and that AdRevival can change or end it at its discretion.

Limitation of Liability

As permitted by law, AdRevival’s liability to you is strictly limited. By participating in the Program, you agree that AdRevival (including its owners, directors, employees, and agents) will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to this Program or any rewards, under any theory of liability (whether in contract, tort, or otherwise). This exclusion includes, for example, any loss of profits or revenue, loss of business opportunities, damage to reputation, or loss of data, even if we have been advised of the possibility of such damages.

To the fullest extent allowed by law, AdRevival’s total cumulative liability for any claims arising from or related to the Program (including any rewards or your participation) is capped at USD $100 (or, if greater, the actual value of the prize you earned that gave rise to the claim). In other words, if for some reason you were able to claim damages from AdRevival, the maximum amount you could recover would be a nominal sum (or the cost of the item in dispute). This limitation applies even if any remedy fails of its essential purpose.

Some jurisdictions do not allow certain liability exclusions or limitations, so some of the above may not apply to you. However, in such jurisdictions, our liability is limited to the minimum extent permitted by law. Nothing in these Terms shall limit liability for personal injury or property damage caused by a prize that cannot be excluded under law, or for AdRevival’s willful misconduct or gross negligence, or other liabilities that cannot be limited by law.

You agree to release, defend, indemnify, and hold harmless AdRevival LLC and its affiliates from any and all claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising out of your participation in the Program or any breach of these Terms by you. This includes, for example, claims related to your promotion methods, your failure to pay taxes on a reward, or your use of a prize.

Governing Law and Dispute Resolution

This Program is offered by AdRevival LLC, a company organized in Wyoming, USA.

These Terms and any disputes arising from the Program will be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles.

Forum Selection: You agree that any dispute, claim, or cause of action arising out of or relating to this Program or these Terms shall be brought exclusively in the state or federal courts located in Cheyenne, Wyoming, USA. You consent to the personal jurisdiction of these courts and waive any objections on the grounds of inconvenient forum or lack of jurisdiction. (If you are an international affiliate, you understand that you may be required to litigate in the United States, and specifically in Wyoming.)

Dispute Resolution Process: In the event of any dispute or issue, you agree to first contact AdRevival (at the email or address below) and attempt in good faith to resolve the matter informally. In the unlikely event we cannot resolve a dispute amicably, and a legal claim is filed, such claim must be brought individually. No class actions or class arbitrations are permitted. You expressly waive any right to participate in any class, collective, or representative proceeding against AdRevival.

NO JURY TRIAL: TO THE EXTENT ALLOWED BY LAW, BOTH YOU AND ADREVIVAL WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY LITIGATION CONCERNING THE PROGRAM OR THESE TERMS.

Any cause of action by you arising from the Program must be brought within one (1) year of the event or occurrence giving rise to the claim, or it will be permanently barred (this does not apply where prohibited by law).

General Terms

● Entire Agreement: These Terms (together with any affiliate agreement you have with AdRevival or Whop, to the extent applicable) constitute the entire understanding between you and AdRevival regarding the Milestone Rewards Program. They supersede any prior or contemporaneous communications on this subject. In the event of any conflict between these Terms and any other program or platform terms, these Terms will control with respect to the Program incentives.

● Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force.

● No Waiver: AdRevival’s failure to enforce any part of these Terms is not a waiver of our right to later enforce that or any other part of the Terms. Any waiver of compliance with these Terms must be in writing and signed by an authorized representative of AdRevival.

● Relationship of Parties: Participation in this Program does not create any joint venture, partnership, employment, or agency relationship between you and AdRevival. You are acting as an independent contractor (affiliate). You have no authority to make or accept any offers or representations on our behalf. You cannot claim any wages, benefits, or compensation other than the commissions and rewards expressly earned under the Program.

● Transferability: You may not assign or transfer any rights or obligations under this Program or these Terms to any other person or entity. The Program rewards are personal to you (the affiliate who earned them) and cannot be transferred. AdRevival may assign or transfer its obligations or rights to an affiliate program successor or to another entity in the event of a merger or acquisition.
